Please read these terms carefully before using Sessionly

THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 17. BY USING SESSIONLY, YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS. PLEASE READ CAREFULLY BEFORE USING SESSIONLY.

1. Acceptance of Terms

By accessing or using the Sessionly platform at sessionly.co (“Platform”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and all other policies incorporated herein. If you do not agree to these Terms, you must immediately stop using the Platform.

  • You must be at least 18 years old, or between 13–17 with verifiable parental or guardian consent.
  • You represent that you have the legal capacity and authority to form binding contracts.
  • By using Sessionly, you acknowledge you are not subject to US export controls or located in a country subject to US government sanctions.
  • These Terms apply to all users including students, experts, administrators, and visitors.
  • Your continued use of the Platform following any modifications to these Terms constitutes acceptance of the updated Terms.

2. Platform Nature & Overview

Sessionly Is a Technology Marketplace
Sessionly is a neutral technology platform that connects independent experts with clients seeking knowledge and guidance. Sessionly is NOT the provider of any services offered by experts on the platform.

What Sessionly IS:

  • A neutral technology marketplace facilitating connections between users and independent service providers
  • A booking and payment processing facilitator operating on behalf of users
  • A platform providing tools for scheduling, video sessions, messaging, and reviews

What Sessionly is NOT:

  • An employer, partner, or joint venture of any Expert or Provider
  • A provider of professional services of any kind
  • Responsible for the quality, accuracy, or outcomes of any Expert session
  • Able to guarantee specific results from any session or program

SESSIONS ON SESSIONLY ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL, LEGAL, FINANCIAL, PSYCHOLOGICAL, OR OTHER LICENSED PROFESSIONAL ADVICE. NOTHING ON THIS PLATFORM CONSTITUTES PROFESSIONAL ADVICE OF ANY KIND. IN CASE OF EMERGENCY, CALL 911 IMMEDIATELY.

Sessionly explicitly disclaims that any content, sessions, or communications on this platform constitute:

  • Medical advice, diagnosis, or treatment of any kind
  • Legal advice or the formation of any attorney-client relationship
  • Financial, investment, or tax advice of any kind
  • Mental health diagnosis, therapy, or treatment
  • Any form of licensed professional service

4. Definitions

As used in these Terms:

  • “Sessionly,” “Platform,” “We,” “Us,” or “Our” means Sessionly Inc. and its subsidiaries, officers, and agents.
  • “Expert,” “Provider,” or “Service Provider” means an independent contractor registered on Sessionly to offer knowledge-sharing sessions.
  • “Student,” “Client,” “User,” or “Customer” means any person accessing the Platform to book or receive sessions.
  • “Session,” “Booking,” or “Appointment” means a scheduled video or audio interaction between an Expert and a Student.
  • “Membership” or “Subscription” means a recurring paid plan granting access to platform features.
  • “Content” or “User Content” means any information, text, video, audio, or materials submitted by users.
  • “AI Features” or “Automated Systems” means any machine-learning powered features offered on the Platform.

5. User Accounts

  • You must provide accurate, complete, and current registration information at all times.
  • Each individual may maintain only one account per role (student or expert). Duplicate accounts may be terminated.
  • You are solely responsible for maintaining the confidentiality of your account credentials.
  • You must not share your account credentials with any third party.
  • You must notify Sessionly immediately at hello@sessionly.co if you suspect unauthorized access to your account.
  • Users must be at least 13 years old. Users under 18 require parental or guardian consent for payment transactions.
  • Sessionly reserves the right to verify your identity at any time and to suspend accounts pending verification.
  • Sessionly may suspend or terminate accounts at its sole discretion for any policy violation.

6. Expert/Provider Responsibilities

Independent Contractor Status

Experts are independent contractors, not employees, agents, or partners of Sessionly. Experts are solely responsible for their own taxes, insurance, and compliance with applicable laws.

Service Obligations

  • Deliver all sessions professionally and in accordance with stated expertise.
  • Honor all confirmed bookings and appear on time for scheduled sessions.
  • Maintain all claimed credentials, licenses, and certifications, and keep them current.
  • Disclose all professional licenses required for their category of service.
  • Never guarantee specific outcomes or results to any client.
  • Never provide advice in emergencies — direct clients to emergency services immediately.

Required Disclaimers

Experts in restricted categories must include the following disclaimers verbally or in writing at the start of each session:

  • Medical/Health: “The information provided in this session is for informational purposes only and is not medical advice.”
  • Legal: “Nothing in this session constitutes legal advice or creates an attorney-client relationship.”
  • Financial: “The information provided in this session is not financial, investment, or tax advice.”

Off-Platform Prohibition

Experts must not solicit clients to book sessions outside the Sessionly platform. Violations will result in immediate permanent account termination.

7. Student/Client Responsibilities

  • Pay all fees for booked sessions promptly and in full.
  • Treat experts with professionalism and respect at all times.
  • Never record any session without the explicit prior consent of the Expert.
  • Refrain from harassment, inappropriate behavior, or discriminatory conduct.
  • Not share session recordings, transcripts, or confidential Expert materials publicly without consent.
  • Not attempt to solicit or hire Experts for services outside the Sessionly platform.
  • Provide accurate information about your goals and needs when booking sessions.

8. Prohibited Conduct

The following conduct is strictly prohibited on Sessionly for all users:

  • Harassment, abuse, bullying, or threatening behavior toward any user
  • Racist, sexist, homophobic, transphobic, or other discriminatory language or conduct
  • Sexual harassment or solicitation of any kind
  • Impersonating any person or entity, or misrepresenting your identity or qualifications
  • Sharing, uploading, or transmitting illegal content of any kind
  • Any exploitation of, or inappropriate conduct toward, minors — subject to immediate permanent ban
  • Circumventing or attempting to circumvent Sessionly’s payment system
  • Creating fake accounts, fake reviews, or fake credentials
  • Reverse engineering, scraping, or using automated tools to access the Platform
  • Using bots, crawlers, or automated systems without written permission
  • Providing false professional credentials or misrepresenting expertise

9. Payments & Fees

Payment Processing

All payments on Sessionly are processed through Stripe, Inc. By making a payment, you also agree to Stripe’s terms of service.

Platform Commission

Sessionly deducts a platform fee from each Expert’s session earnings based on their membership tier:

  • Standard (Free): 25% commission
  • Verified: 17.5% commission
  • Featured: 12.5% commission
  • Elite: 5% commission

Fee Changes

Sessionly may modify commission rates or fees with 30 days’ advance written notice to affected users.

Tax Obligations

Experts are solely responsible for all applicable taxes on their earnings. Sessionly will issue IRS Form 1099 to US-based Experts earning $600 or more per calendar year.

Disputes & Chargebacks

Repeated or fraudulent chargebacks may result in account suspension. Sessionly reserves the right to withhold funds during active dispute investigations.

10. Session Conduct & Recording

  • Sessions may be recorded only with the explicit consent of all participants, as required by applicable law.
  • Sessionly may access session recordings for the purposes of dispute resolution, safety investigations, quality assurance, and legal compliance.
  • Users must comply with all applicable recording consent laws in their jurisdiction.
  • Unauthorized recording of sessions constitutes a serious policy violation and may result in account termination.

11. AI Features & Automated Systems

AI Features Are Informational Only
AI-powered features on Sessionly are provided for informational and convenience purposes only. Do not rely solely on AI outputs for any important personal, professional, financial, legal, or medical decision. AI outputs may be inaccurate, incomplete, or outdated.
  • AI features including session matching, summaries, and coaching tools are provided “AS IS” without warranty of any kind.
  • Sessionly does not warrant the accuracy, completeness, or reliability of any AI-generated content.
  • Users consent to the processing of session data by AI systems for the purposes of platform functionality and improvement.
  • Sessions may be transcribed and analyzed by automated systems subject to our Privacy Policy.
  • Sessionly may use anonymized session data to improve AI models and platform features.
  • Third-party AI providers including OpenAI may process certain data as described in our Privacy Policy.
  • Users may not attempt to reverse engineer, circumvent, or manipulate any AI system on the Platform.
  • All AI features are scheduled for launch in Q3 2026 and subject to these Terms when released.

They are not a substitute for care from a licensed physician or healthcare provider. Always consult a qualified medical professional for health concerns.

Sessions in legal categories are for informational purposes ONLY. No attorney-client relationship is formed through any session on Sessionly. Nothing discussed in any session constitutes legal advice. For legal matters, please consult a licensed attorney in your jurisdiction.

Sessions in financial and investment categories are for informational and educational purposes ONLY. They do not constitute financial, investment, or tax advice. No guarantees of returns or outcomes are made. Past performance discussed does not indicate future results. Consult a licensed financial advisor before making investment decisions.

Mental Health & Life Coaching
Life coaching and wellness sessions on Sessionly are NOT therapy, counseling, or mental health treatment of any kind. If you are experiencing a mental health crisis, please call the 988 Suicide and Crisis Lifeline by dialing 988.

13. Intellectual Property

  • All Sessionly branding, technology, software, designs, and platform content are owned exclusively by Sessionly Inc. and protected by applicable intellectual property laws.
  • Users retain ownership of their own content submitted to the Platform.
  • By submitting content to Sessionly, users grant Sessionly a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content for the purposes of operating and promoting the Platform, subject to user consent where required.
  • Users may not copy, scrape, reproduce, or distribute any Platform content without express written permission.
  • All DMCA copyright claims should be submitted to legal@sessionly.co. See our Copyright Policy at /legal/copyright for full procedures.

14. Data Privacy

Sessionly’s collection and use of your personal information is governed by our Privacy Policy, available at /legal/privacy. Key security measures include:

  • HTTPS/TLS encryption for all data in transit
  • Encrypted storage of sensitive data at rest
  • Role-based access controls and authentication requirements
  • Regular security audits and monitoring

No digital system is 100% secure. By using Sessionly, you acknowledge and accept the inherent security risks associated with transmitting information over the internet.

15. Limitation of Liability

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SESSIONLY’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO SESSIONLY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Sessionly is not liable for:

  • Advice, information, or services provided by Experts or other third parties
  • Interactions, conduct, or disputes between users
  • Any indirect, incidental, special, consequential, punitive, or exemplary damages
  • Loss of revenue, income, profits, data, or business opportunities
  • Technical failures, outages, or interruptions of third-party services
  • Force majeure events beyond Sessionly’s reasonable control

16. Indemnification

You agree to indemnify, defend, and hold harmless Sessionly Inc. and its officers, directors, employees, agents, and successors from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your conduct on or use of the Platform
  • Your violation of these Terms
  • Your misrepresentation of credentials, qualifications, or identity
  • Your misuse of the Platform or its features
  • Any third-party claims against Sessionly caused directly or indirectly by your actions

17. Dispute Resolution & Arbitration

Binding Arbitration — Class Action Waiver
ALL DISPUTES BETWEEN YOU AND SESSIONLY MUST BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION. BY AGREEING TO THESE TERMS, YOU EXPRESSLY WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN OR BRING A CLASS ACTION LAWSUIT. THIS DOES NOT APPLY TO SMALL CLAIMS COURT PROCEEDINGS FOR DISPUTES UNDER $10,000.

Informal Resolution First

Before initiating arbitration, both parties agree to attempt to resolve any dispute informally by sending written notice to legal@sessionly.co. The parties will have 30 days from receipt of notice to attempt good-faith resolution.

Binding Arbitration

  • If informal resolution fails, disputes will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules.
  • Arbitration will be conducted by a single neutral arbitrator.
  • Venue: San Francisco County, California.
  • California law governs all disputes.
  • The arbitrator may award any relief available in a court of law.
  • Either party may seek emergency injunctive relief from a court of competent jurisdiction.

Exceptions

  • Claims under $10,000 may be brought in small claims court.
  • Either party may seek injunctive relief in court to prevent irreparable harm.

Statute of Limitations

Any claim arising under these Terms must be brought within one (1) year of the date the claim arose, or it will be permanently barred.

18. Communications & TCPA Disclosure

By providing your phone number to Sessionly, you expressly consent to receive communications from Sessionly via:

  • SMS and text messages (including automated messages)
  • Email communications
  • In-app push notifications
  • Phone calls

You are not required to consent to receive marketing communications as a condition of using the Platform. To opt out: text STOP to any SMS, click the unsubscribe link in any email, or contact hello@sessionly.co.

19. Minors Policy (COPPA)

  • The Sessionly platform is not intended for use by children under 13 years of age.
  • Users between 13–17 may access Sessionly only with verifiable parental or guardian consent.
  • Sessionly applies enhanced monitoring and safety protocols for accounts identified as belonging to minors.
  • Parents or guardians may request deletion of their child’s data by contacting privacy@sessionly.co.
  • Experts found to engage in inappropriate conduct toward minors will receive an immediate, permanent account ban and may be reported to law enforcement.

20. Modifications to Terms

  • Sessionly reserves the right to modify these Terms at any time.
  • Material changes will be communicated with at least 30 days’ advance notice via email to registered users.
  • The updated Terms will be posted at /legal/terms with a new effective date.
  • Your continued use of the Platform after the effective date of any modifications constitutes acceptance of the updated Terms.
  • If you do not agree to the updated Terms, you have the right to close your account.

21. Termination

Sessionly may suspend or terminate your account and access to the Platform at any time and for any reason, including but not limited to:

  • Any violation of these Terms or any Sessionly policy
  • Repeated session no-shows or student complaints
  • Fraudulent activity, misrepresentation, or suspected account abuse
  • Providing false credentials or misrepresenting professional qualifications
  • At Sessionly’s sole discretion with or without cause

Upon termination, your right to access the Platform ceases immediately. Sections of these Terms that by their nature should survive termination will survive.

22. Force Majeure

Sessionly shall not be liable for any delay or failure in performance resulting from causes outside Sessionly’s reasonable control, including but not limited to:

  • Platform or cloud infrastructure outages
  • Internet or telecommunications failures
  • Natural disasters, epidemics, or pandemics
  • Government regulations, actions, or orders
  • Cyberattacks or security incidents affecting third-party service providers

23. Governing Law & Severability

  • These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.
  • If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remainder of these Terms will remain in full force and effect.
  • These Terms, together with our Privacy Policy and any other incorporated policies, constitute the entire agreement between you and Sessionly with respect to your use of the Platform.
